CINESPATIAL LIVE SUITE TERMS OF USE

Welcome to CINESPATIAL LIVE SUITE. These Terms of Use (“Terms”) govern your access to and use of the CINESPATIAL website, applications, software, pre-release programs, subscriptions, pre-orders, enterprise pilots, onboarding services, support services, and related features, content, tools, and interfaces (collectively, the “Service”).

As used in these Terms, “CINESPATIAL,” “we,” “us,” and “our” mean [Insert Legal Company Name], and “you” and “your” mean the individual or entity using the Service.

By accessing, browsing, pre-ordering, subscribing to, registering for, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.


1. Eligibility and Account Registration

1.1 Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase, subscribe to, or use the Service on your own behalf. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

1.2 Account Registration

To access certain features of the Service, you may be required to create an account and provide accurate, current, and complete registration information. You agree to keep your information updated.

1.3 Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access to or use of your account.


2. Nature of the Service

2.1 Software Platform

CINESPATIAL LIVE SUITE is a software platform and related service ecosystem that may include applications, operating tools, AI-assisted workflows, deployment tools, onboarding, training, customer support, enterprise pilots, beta access, early access programs, cloud-based features, downloadable software, dashboards, and other digital offerings.

2.2 Pre-Release Status

CINESPATIAL LIVE SUITE may be offered in whole or in part as a pre-release, beta, pilot, early access, or in-development product. Any descriptions, feature references, mockups, demonstrations, videos, screenshots, technical specifications, integrations, workflows, roadmaps, or performance examples on our website or in our materials may reflect planned, prototype, experimental, or in-development functionality and may change before commercial release.

2.3 No Guarantee of Specific Features

Unless expressly included in your order confirmation or a signed written agreement, no specific feature, module, integration, service level, compatibility standard, release sequence, or technical outcome is guaranteed.


3. Pre-Orders, Founding Access, and Early Access Programs

3.1 Pre-Order Purchases

We may offer pre-orders, founding access packages, founding customer plans, pilot packages, beta programs, or other early access opportunities prior to general commercial release. A pre-order is a purchase of future access to the Service and any related components or services expressly listed at checkout or in your order confirmation.

3.2 No Immediate Access Unless Stated

A pre-order does not entitle you to immediate access unless immediate access is expressly stated at the time of purchase.

3.3 Estimated Timing Only

Any launch date, release window, onboarding date, access date, or rollout timeline we provide is an estimate only, unless expressly stated otherwise in a signed written agreement. We do not guarantee launch, provisioning, onboarding, or access by any specific date.

3.4 Delays

If we are unable to provide access within the time expressly promised at checkout, or within any otherwise applicable period required by law, we may notify you of the delay and provide an updated estimated availability window. Where required by law, we may offer you the opportunity to consent to the delay or cancel for a refund.

3.5 Changes Before Release

We may modify, delay, replace, reprioritize, discontinue, or remove features, modules, integrations, package contents, workflows, or service components before general release. If we make a material change that substantially reduces the core product or services expressly included in your purchase, our sole obligation will be to provide any remedy required by law or, at our option, a commercially reasonable substitute benefit, service credit, or refund.

3.6 No Investment Offering

Any purchase of a pre-order, founding access package, founding customer plan, pilot package, membership, support tier, or similar offering is a purchase of products and/or services only. It is not a security, investment contract, ownership interest, revenue-sharing arrangement, profit-sharing arrangement, note, or investment opportunity.


4. Free Trials, Beta Access, and Promotional Access

4.1 Availability

We may offer free trials, test access, demos, pilot access, beta access, or promotional access to certain users. Eligibility, duration, feature access, and limitations are determined by CINESPATIAL in its sole discretion.

4.2 Restrictions

We may limit or revoke access to any free trial, test, pilot, or beta program to prevent abuse, preserve system integrity, manage capacity, or enforce these Terms.

4.3 Conversion to Paid Access

If a free trial or promotional period converts into a paid subscription, we will disclose the material billing terms as required by law before charging you. If your plan auto-renews, the automatic renewal terms must be presented clearly before purchase, and you must have an easy way to cancel.


5. Billing, Payment, Renewals, and Cancellation

5.1 Payment Methods

To purchase or subscribe to the Service, you must provide a current, valid, and accepted payment method (“Payment Method”). You authorize us to charge your Payment Method for all applicable fees, taxes, and other charges associated with your account.

5.2 Billing Cycle

If you enroll in a recurring subscription, your subscription fee will be billed in advance on a recurring basis, such as monthly or annually, depending on the plan selected at signup. Your billing date may change in limited circumstances, such as failed payment attempts, calendar adjustments, plan changes, or account transitions.

5.3 Updating Payment Information

You may update your Payment Method through your account settings, if available, or by contacting us. You authorize us to continue charging any updated Payment Method associated with your account.

5.4 Failed Payments

If a charge is declined, reversed, or otherwise unsuccessful, we may suspend or terminate your access to the Service until payment is successfully processed.

5.5 Automatic Renewal

If your plan automatically renews, it will renew for successive terms of the same length unless you cancel before the renewal date. By purchasing an auto-renewing plan, you authorize us to charge your Payment Method on a recurring basis until you cancel. You may cancel using the cancellation method described in your account or plan materials. If California law applies, required automatic renewal disclosures and cancellation rights will apply.

5.6 Cancellation

You may cancel a recurring subscription at any time. Unless otherwise stated, cancellation will take effect at the end of your then-current billing period, and you will retain access until the end of that period.

5.7 Price and Plan Changes

We may change our pricing, plans, packaging, and features from time to time. If you are on a recurring paid plan, any price change will apply no earlier than the next billing cycle after any notice required by law or by these Terms.


6. Refund Policy

6.1 Pre-Order Refunds

Unless otherwise required by law or expressly stated at checkout or in a signed written agreement, you may cancel a pre-order for a full refund at any time before the earliest of the following:
(a) your account is provisioned,
(b) software access credentials or license credentials are issued, or
(c) any paid onboarding, implementation, advisory, setup, or related services included with your package have begun.

6.2 After Provisioning or Services Begin

Once your account is provisioned, access credentials are issued, or included onboarding or related services have begun, payments are non-refundable except as required by law or expressly stated in a separate written agreement.

6.3 Delayed Access

If access is materially delayed beyond any expressly promised delivery period, we will address the delay in accordance with applicable law and any posted refund or delay policy.

6.4 Subscription Refunds

Except where required by law, subscription fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods, unused subscription time, or unused service capacity.

6.5 Clear Display

Any limited-refund or no-refund policy applicable to your purchase will be clearly displayed at or before checkout where required by law. California specifically emphasizes the importance of clearly displayed limited or no-refund policies.


7. License and Permitted Use

7.1 Limited License

Subject to these Terms and your compliance with them, CINESPATIAL grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business or personal use, as applicable.

7.2 Restrictions

You may not, and may not allow any third party to:

  • copy, reproduce, distribute, sell, lease, sublicense, or exploit the Service except as expressly permitted;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, except where prohibited by law;
  • remove, alter, or obscure any copyright, trademark, or proprietary notices;
  • use the Service to create a competing product or service;
  • access the Service using bots, scrapers, crawlers, or other automated means not authorized by us;
  • interfere with or disrupt the Service, servers, security systems, or networks;
  • upload malware, malicious code, or harmful content;
  • use the Service in violation of applicable law or third-party rights.

7.3 Suspension

We may suspend, restrict, or terminate access to the Service if we reasonably believe you have violated these Terms, created risk for us or others, or engaged in unlawful, fraudulent, abusive, or harmful conduct.


8. Customer Content and Inputs

8.1 Your Content

You may submit, upload, transmit, configure, or otherwise provide materials, data, files, prompts, media, project information, or other content through the Service (“Customer Content”). You retain ownership of your Customer Content, subject to the rights you grant us below.

8.2 License to Operate the Service

You grant us a non-exclusive, worldwide, limited license to host, use, reproduce, process, transmit, display, adapt, and otherwise use Customer Content solely as necessary to provide, maintain, support, secure, improve, and operate the Service and to fulfill our obligations to you.

8.3 Responsibility for Your Content

You represent that you have all necessary rights and permissions to submit Customer Content and that your Customer Content does not infringe or violate any law or third-party rights.


9. Third-Party Services and Integrations

The Service may interoperate with third-party software, APIs, hardware, payment processors, cloud providers, media tools, creative tools, communications systems, or enterprise systems. We are not responsible for third-party services, products, availability, or policies. Your use of third-party services may be subject to separate terms and privacy policies.


10. Availability, Performance, and Changes

10.1 No Uninterrupted Service

The Service may be unavailable, interrupted, delayed, or degraded from time to time for maintenance, updates, testing, network failures, third-party outages, feature transitions, or other reasons.

10.2 Product Evolution

We may add, remove, update, or modify features, interfaces, workflows, tools, and technical requirements at any time.

10.3 Beta and Experimental Features

Some features may be labeled beta, pilot, preview, experimental, or similar. Those features may be incomplete, unstable, changed, suspended, or withdrawn at any time.


11. Intellectual Property

The Service, including all software, interfaces, branding, designs, text, graphics, workflows, audiovisual materials, and related content, is owned by CINESPATIAL or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.


12. Confidentiality and Feedback

12.1 Confidential Information

If you receive access to non-public features, roadmaps, demos, or materials, you may not disclose them to third parties without our prior written consent unless otherwise agreed in writing.

12.2 Feedback

If you provide suggestions, ideas, feedback, comments, or recommendations regarding the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation to you.


13. Privacy

Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and disclose personal information.


14. Disclaimers

14.1 As-Is

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

14.2 No Warranty of Performance or Outcomes

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ANY PARTICULAR TIME, OR FREE FROM DEFECTS, OR THAT IT WILL ACHIEVE ANY SPECIFIC CREATIVE, TECHNICAL, OPERATIONAL, OR COMMERCIAL RESULT.

14.3 Pre-Release Disclaimer

FOR PRE-RELEASE, BETA, PILOT, EARLY ACCESS, OR IN-DEVELOPMENT OFFERINGS, YOU UNDERSTAND THAT FEATURES, STABILITY, PERFORMANCE, WORKFLOWS, INTERFACES, AND OUTPUTS MAY CHANGE, FAIL, OR BE WITHDRAWN BEFORE GENERAL RELEASE.


15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINESPATIAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
(b) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.


16. Indemnification

You agree to defend, indemnify, and hold harmless CINESPATIAL and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Service;
  • your Customer Content;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your infringement of any third-party rights.

17. Termination

We may suspend or terminate your account or access to the Service at any time if:

  • you violate these Terms;
  • payment is overdue or fails;
  • required by law;
  • necessary to protect the Service, our users, or our business; or
  • we discontinue the relevant offering.

Upon termination, your right to access and use the Service will cease, except for any rights that by their nature survive termination.


18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in [Insert County, State], and you consent to the jurisdiction of those courts, unless a different forum is required by applicable law.


19. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND CINESPATIAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.


20. Miscellaneous

20.1 Entire Agreement

These Terms, together with any order form, signed agreement, incorporated policy, and our Privacy Policy, constitute the entire agreement between you and CINESPATIAL regarding the Service, except where superseded by a separate signed written agreement.

20.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

20.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

20.4 Assignment

We may assign or transfer these Terms, or any of our rights or obligations under them, at any time. You may not assign these Terms without our prior written consent.

20.5 Electronic Communications

You agree that we may provide notices, disclosures, invoices, confirmations, renewals, updates, and other communications electronically, including by email, in-product notice, or website posting.

20.6 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
